Terms of Service

These Terms of Service ("Terms") govern your use of the hosted Pad service at app.getpad.dev (the "Service"), operated by Perpetual Software LLC ("Perpetual", "we", "us"), a limited liability company registered in Massachusetts, United States. By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

The open-source Pad software is available under its own license (see github.com/xarmian/pad); these Terms apply only to the hosted offering.

Accounts

  • You must provide accurate information and keep your credentials secure.
  • You are responsible for activity on your account. Notify us promptly of any unauthorized use.
  • You must be at least 13 years old (or the age required for data-processing consent in your jurisdiction — 16 in much of the EU).

Acceptable use

You agree not to:

  • Violate any applicable law or third-party right.
  • Upload malware, phishing content, or material that infringes intellectual-property rights.
  • Attempt to breach the Service's security, rate limits, or access controls.
  • Reverse engineer, scrape, or abusively load the Service.
  • Use the Service to send unsolicited bulk communications.
  • Use the Service to store or process special-category personal data (for example, health data, biometric data, or information about children under 13) without a separate written agreement with us.

We may suspend or terminate accounts that violate these rules.

Your content

You retain ownership of the content you create in the Service. You grant us a limited, worldwide, non-exclusive license to host, display, transmit, and back up your content solely to provide the Service to you and to people you share it with. We do not use your content to train models or for advertising.

If your content contains personal data about individuals in the EEA, UK, or Switzerland, you acknowledge that you are the data controller for that content and Perpetual is the processor. Our Privacy Policy and Data Processing Agreement (available on request) describe how we handle such data.

Subscriptions and billing

  • Paid plans are billed through Stripe on a recurring basis until you cancel.
  • Cancellations take effect at the end of the current billing period; we do not issue pro-rated refunds except where required by law.
  • Prices may change; we will give at least 30 days' notice before a change affects your next renewal.
  • You are responsible for any taxes applicable to your purchase beyond what we are required to collect.

Free and beta features

Some features may be offered on a free tier or in beta. We may modify, restrict, or discontinue free or beta features at any time. Beta features are provided "as is" without any warranty.

Termination

You may delete your account at any time from Account Settings. We may suspend or terminate your access if you violate these Terms, if required by law, or if your account is inactive for an extended period. On termination, your rights under these Terms end and we will handle your data in accordance with our Privacy Policy.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PERPETUAL SOFTWARE LLC OR ITS OFFICERS, MEMBERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law — including, for consumers in the EEA and UK, liability for gross negligence, willful misconduct, or death or personal injury caused by negligence.

Indemnification

You agree to indemnify and hold Perpetual Software LLC harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, or your breach of these Terms.

Changes to the Service and Terms

We may modify the Service at any time. We may update these Terms; material changes will be communicated by email or a notice in the Service at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

Governing law and venue

These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict-of-laws rules. Exclusive venue for disputes not subject to arbitration is the state or federal courts located in Suffolk County, Massachusetts, and you consent to the personal jurisdiction of those courts.

If you are a consumer in the EEA or UK, nothing in this section deprives you of the protection of the mandatory laws of your country of residence.
